1. DEFINITIONS
1.1 "Platform" means the Nature Shire website (www.natureshire.com), its dashboards, APIs, and related services.
1.2 "Company", "we", "us", "our" means Canuck Global Marketplace Limited, trading as Nature Shire, and its officers, directors, employees, agents, affiliates, and successors.
1.3 "Buyer", "you", "your" means the business, distributor, retailer, importer, or authorised representative who registers to source or purchase Products.
1.4 "Seller" means a producer, brand owner, or distributor listing Products.
1.5 "Products" means goods listed on the Platform.
1.6 "Order" means a purchase request or transaction placed through the Platform.
2. ROLE OF NATURE SHIRE
2.1 Nature Shire operates as a B2B marketplace and export-facilitation platform that connects Buyers with Sellers and their Products.
2.2 Except where we are expressly stated to be the seller of record for a specific transaction, Nature Shire is a facilitator/intermediary. The contract of sale for Products is between you and the relevant Seller.
2.3 We do not manufacture, own (except consigned inventory expressly held by us in writing), or warrant Products, and we are not a party to the underlying sale except as stated.
3. REGISTRATION, APPROVAL & ACCOUNTS
3.1 Registration is subject to review and approval by Nature Shire in our sole discretion. We may approve, decline, suspend, or terminate any account at any time.
3.2 You must provide accurate, current, and complete information and keep it updated. You are responsible for all activity under your account and for safeguarding your credentials.
3.3 You confirm you are a business purchaser acting in a commercial capacity and are authorised to transact on behalf of your organisation.
4. BUYER OBLIGATIONS & WARRANTIES
4.1 You warrant that:
(a) you hold all licences, permits, and authorisations required to import, distribute, and sell the Products in your market;
(b) you will comply with all applicable import, customs, food-safety, labelling, and trade laws in your jurisdiction and destination markets;
(c) you will use the Platform only for lawful commercial purposes.
4.2 You are responsible for satisfying yourself as to the suitability, specification, quality, compliance, and legality of Products for your intended market BEFORE placing an Order, including reviewing samples and certifications where appropriate.
4.3 You are responsible for all duties, taxes, tariffs, and destination-market charges unless expressly agreed otherwise in writing.
5. ORDERS, PRICING & PAYMENT
5.1 Product listings, prices, minimum order quantities (MOQ), and availability are indicative and may change until an Order is confirmed.
5.2 An Order is binding when confirmed in accordance with the Platform's checkout / order-confirmation process.
5.3 Payment terms, methods, and any escrow or processing arrangements are as set out on the Platform or in your commercial schedule.
5.4 Title and risk in Products pass in accordance with the agreed shipping terms (e.g. Incoterms) for each Order.
6. SHIPPING, DELIVERY & CUSTOMS
6.1 Delivery timelines are estimates. Nature Shire is not responsible for delays, loss, or damage caused by carriers, customs, force majeure, or third parties.
6.2 You are the importer of record unless expressly agreed otherwise and are responsible for customs clearance in your market.
7. RETURNS, DEFECTS & DISPUTES
7.1 Claims regarding Product quality, quantity, or condition must be raised within the window and process stated on the Platform.
7.2 As Products are sold by Sellers, warranty and defect claims are primarily against the Seller. Nature Shire may, at its discretion, assist in facilitating a resolution but is not obligated to and is not liable for the outcome.
8. LIMITATION OF LIABILITY & DISCLAIMER
8.1 THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that listings are error-free or that Products meet your requirements.
8.2 To the maximum extent permitted by applicable law, Nature Shire and Canuck Global Marketplace Limited are NOT liable for, and you release us from, any loss, damage, claim, or liability arising from or relating to:
(a) the quality, safety, legality, or performance of Products;
(b) product recalls, contamination, spoilage, injury, or regulatory action;
(c) acts, omissions, insolvency, or non-performance of Sellers or third parties;
(d) shipping, customs, logistics, delays, loss, or damage in transit;
(e) currency, tariff, sanction, embargo, war, or trade-restriction events;
(f) loss of profits, revenue, goodwill, or data, or indirect, incidental, special, punitive, or consequential damages;
(g) reliance on any listing, description, or third-party content.
8.3 Where liability cannot be excluded by law, our total aggregate liability to you for any and all claims is limited to the total fees actually received by us from you in the SIX (6) MONTHS preceding the event giving rise to the claim, or CAD $100, whichever is lower.
8.4 Nothing in these Terms excludes liability that cannot lawfully be excluded.
9. INDEMNITY
9.1 You will indemnify, defend, and hold harmless Nature Shire and Canuck Global Marketplace Limited from any claim, loss, liability, fine, penalty, or expense (including reasonable legal fees) arising from: your use of the Platform; your breach of these Terms or any law; your import, distribution, or resale of Products; or any dispute between you and a Seller.
10. ACCEPTABLE USE
10.1 You will not scrape, copy, resell, or misuse Platform data or Seller Content; interfere with the Platform's operation; or use it to transact unlawfully or circumvent Nature Shire to solicit Sellers off-platform in breach of any agreed terms.
11. CONFIDENTIALITY & DATA
11.1 Each party will protect the other's non-public business information.
11.2 We handle personal data in accordance with our Privacy Policy and applicable Canadian privacy law (PIPEDA and any applicable provincial law).
12. GENERAL
12.1 GOVERNING LAW. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. The courts of British Columbia have exclusive jurisdiction, subject to any agreed arbitration.
12.2 CHANGES. We may update these Terms; material changes will be notified and continued use constitutes acceptance.
12.3 SEVERABILITY. If any provision is unenforceable, the rest remain in effect.
12.4 ENTIRE AGREEMENT. These Terms, plus any commercial schedule, form the entire agreement between the parties.
12.5 ASSIGNMENT. You may not assign without our consent; we may assign to an affiliate or successor.
ACCEPTANCE: By checking "I agree to the Buyer Terms & Conditions" and completing registration, you confirm you have read, understood, and agree to be bound by these Terms on behalf of your business.
